How we acquire.

Four steps, written down, run the same way every time. No theatrical earn-outs as a default posture. No questionnaire-driven valuations. The platform that the group operates on is the same platform that helps evidence and integrate an acquisition.

Valuation

For ISOs already operating on Valtura Platform, the indicative valuation is informed by live data — merchant book, residual run-rate, retention, growth — not just by a questionnaire. For ISOs not yet on the platform, a confidential conversation establishes scope before any diligence route is agreed.

Diligence

The platform is the diligence pack. Operational metrics are read live; financial diligence (statements, residual reports, BIN agreements, supplier contracts) runs in parallel through a private data room. We do not commission third-party operational diligence reports — the operating data is the source of truth.

Offer

Where a process moves forward, the preferred structure is clear consideration on completion plus any continuity component tied to written, understandable milestones. Final terms depend on diligence, approvals, and contract.

Handover

Handover is planned around merchant continuity, team knowledge, and operating stability. Sales, residuals, and merchant management consolidate onto Valtura Platform where appropriate; founder involvement is agreed case by case.
